1. Acceptance
By accessing meridianbuyersalliance.org (the "Site"), you accept these Terms of Use. If you do not agree, do not use the Site. The Site is intended for business and professional users who are at least 18 years old.
2. Nature of Services
Meridian operates as a vendor-paid buying alliance and procurement platform that facilitates purchasing opportunities and strategic sourcing for its members, structured to operate within the federal group purchasing safe harbor (42 C.F.R. 1001.952(j)). Manufacturers and vendors pay Meridian a modest administrative fee on member purchases — a single rate not exceeding three percent (3%) on covered medical products; members pay no fee to join. Meridian does not manufacture, distribute, certify, guarantee, warrant, or independently verify vendor products, pricing, availability, regulatory compliance, or performance.
3. No Guarantee
Pricing, discounts, savings, and availability may change at any time and are not guaranteed. Any savings figures or examples are illustrative, are based on published industry research applied to hypothetical facilities, and are not a promise or projection of results for any particular member.
4. Vendor Independence
Vendors are independent third parties solely responsible for their products, recalls, shortages, defects, warranties, legal compliance, and service performance. Meridian is not a party to the purchase transaction between a member and a vendor.
5. No Fiduciary Relationship
No fiduciary, agency, partnership, or joint venture relationship is created by use of the Site.
6. No Professional Advice
Site content is general business information only and is not legal, medical, financial, tax, or regulatory advice. You should consult your own advisors before acting on it.
7. No Protected Health Information
Meridian operates strictly as a purchasing organization and is not a HIPAA covered entity or business associate. Do not submit protected health information (PHI) or patient data through the Site or any form. Meridian does not request, and does not knowingly collect, PHI.
8. Intellectual Property
All Site content, design, and marks are owned by Meridian or its licensors and are protected by law. Vendor names, marks, and product content displayed in any member purchasing catalogue remain the property of the respective vendor and are used with that vendor's authorization.
9. Prohibited Conduct
No scraping, data harvesting, automated collection, AI training, reverse engineering, malware, interference, unauthorized access, or other misuse of the Site is permitted.
10. Third-Party Links
The Site may link to third-party websites that Meridian does not control or endorse. Meridian is not responsible for third-party content, products, or practices.
11. Limitation of Liability
To the fullest extent permitted by law, Meridian's aggregate liability shall not exceed the lesser of $500 or the fees paid to Meridian during the prior twelve (12) months. Meridian disclaims indirect, consequential, punitive, incidental, lost-profit, supply-chain, business-interruption, healthcare, procurement, and reputational damages.
12. Indemnification
You agree to indemnify and hold Meridian harmless against claims arising from your misuse of the Site, your violation of law, inaccurate submissions, or disputes involving third-party vendors.
13. Force Majeure
Meridian is not responsible for delays or failures caused by events beyond its reasonable control.
14. Arbitration
All disputes shall be resolved by binding, confidential arbitration seated in Arkansas. Class actions and jury trials are waived.
15. Governing Law
Arkansas law governs these Terms, without regard to its conflict-of-laws rules.
16. Severability
If any provision is held unenforceable, the remaining provisions remain in full effect.
17. Entire Agreement
These Terms are the entire agreement between you and Meridian regarding your use of the Site and supersede prior understandings on that subject.
18. Changes
Meridian may modify these Terms at any time. Material changes will be reflected by an updated effective date, and continued use of the Site constitutes acceptance.
